Extracting songs based on bit rate

I want to convert the songs on my ipod from MP3 320 to AAC .m4a 128 bitrate. What is the best way to do this?

use the conversion tool in iTunes, just select the format and desired bitrate/quality, select the tracks to convert, then right click > convert.

BTW, this feature will NOT destructively convert files, meaning the original files will still be there, and you will have duplicates unless you delete them.
